Happy Chats Online Language Classes

By purchasing classes or services from Happy Chats ("we," "us," "our"), you ("student," "you," "your") agree to be bound by these Terms and Conditions. Please read them carefully before making any purchases.

1. Payment and Packages

1.1 Payment Terms

  • All payments must be completed before classes begin

  • We accept major credit cards, debit cards, and electronic payments

  • Prices are subject to change without notice for future purchases

  • All prices are in US Dollars and include applicable taxes where required

1.2 Package Validity

  • All class packages expire 365 days from the date of purchase

  • Unused classes after the expiration date will be forfeited without compensation

  • Package expiration dates cannot be extended under any circumstances

  • It is the student's responsibility to use classes within the validity period

2. Refund and Credit Policy

2.1 No Cash Refunds

  • Happy Chats operates a strict no-refund policy

  • No cash refunds will be provided under any circumstances

  • All sales are final once payment is processed

2.2 Store Credit Only

  • In exceptional circumstances and at our sole discretion, store credit may be issued

  • Store credit has the same 365-day expiration period as the original purchase

  • Store credit cannot be transferred to other individuals

  • Store credit cannot be converted to cash

3. Scheduling and Cancellation Policy

3.1 Advance Notice Requirement

  • Classes must be rescheduled or canceled at least 12 hours before the scheduled class time

  • Cancellations or rescheduling requests made less than 12 hours in advance will result in the class being charged and forfeited

  • No-shows (failure to attend without prior notice) will result in the class being charged and forfeited

3.2 Rescheduling

  • Rescheduling must be done through our designated booking system or by contacting us directly

  • We will make reasonable efforts to accommodate rescheduling requests based on availability

3.3 Instructor-Initiated Cancellations

  • If we need to cancel a class, you will receive full credit for that session

  • We will provide at least 2 hours’ notice when possible

  • Emergency cancellations may occur with less notice due to unforeseen circumstances

4. Technical Requirements and Responsibilities

4.1 Student Technical Requirements

  • Stable internet connection capable of video conferencing

  • Computer, tablet, or smartphone with camera and microphone

  • Updated web browser or video conferencing application as specified

  • Quiet, distraction-free environment for optimal learning

4.2 Technical Issues

  • Students are responsible for their own internet connection and technical setup

  • Classes interrupted by student technical issues will not be refunded or credited

  • We will make reasonable efforts to assist with technical difficulties during the first 10 minutes of class

  • If technical issues on our end prevent class delivery, full credit will be provided

5. Class Conduct and Expectations

5.1 Student Behavior

  • Students must conduct themselves respectfully and professionally

  • Disruptive, inappropriate, or abusive behavior may result in immediate termination of services without refund

  • Students must be punctual and prepared for scheduled classes

  • Recording of classes is prohibited without explicit written permission

5.2 Class Materials

  • Any materials provided remain the intellectual property of Happy Chats

  • Materials are for personal use only and may not be shared or distributed

  • Students are encourgaed take notes during classes for personal reference

6. Liability and Disclaimers

6.1 Educational Services

  • Happy Chats provides language instruction services only

  • We do not guarantee specific learning outcomes or proficiency levels

  • Individual results may vary based on student effort, aptitude, and participation

  • We are not responsible for any consequences arising from language skills acquired

6.2 Limitation of Liability

  • Our liability is limited to the amount paid for services

  • We are not liable for any indirect, incidental, or consequential damages

  • We do not warrant uninterrupted or error-free service delivery

7. Privacy and Data Protection

7.1 Personal Information

  • We collect and use personal information in accordance with our Privacy Policy

  • Student information will be kept confidential and used only for service delivery

  • We may use anonymized feedback and testimonials for marketing purposes

7.2 Class Recordings

  • Classes may be recorded for quality assurance purposes only

  • Students will be notified if recording occurs

  • Recordings are stored securely and deleted after a reasonable period

8. Intellectual Property

8.1 Course Content

  • All course materials, methods, and content are proprietary to Happy Chats

  • Students may not reproduce, distribute, or commercially use any course materials

  • Violation of intellectual property rights may result in legal action

9. Modifications and Updates

9.1 Terms Changes

  • We reserve the right to modify these terms at any time

  • Changes will be posted on our website with the updated date

  • Continued use of services after changes constitutes acceptance of new terms

9.2 Service Changes

  • We may modify class formats, durations, or delivery methods with reasonable notice

  • Significant changes will be communicated to active students in advance

10. Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, pandemics, or other emergencies.

11. Dispute Resolution

11.1 Governing Law

  • These terms are governed by the laws of the State of California, United States

  • Any disputes will be resolved in Superior Court of California, County of San Diego

11.2 Communication

  • All disputes should first be addressed through direct communication

  • We will make reasonable efforts to resolve issues amicably

  • Written notice of disputes must be provided within 30 days of the issue arising

By purchasing classes from Happy Chats, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
